| Course Description | This course explores a range of topics relating to the regulation of corporate mergers and acquisitions including, for example: (a) the rationales for regulating transactions which may result in control of a company changing; (b) the transactions that require regulation; (c) balancing the rights and interests of participants in merger and acquisition transactions; (d) constructing a regulatory system which is flexible, fair, and efficient; and (e) achieving a change of control through a members¿ scheme of arrangement. While the course will primarily focus on the position in Australia, reference will frequently be made to other comparable regulatory systems. |
