Course overview
This course provides students with a foundation for understanding mergers, acquisitions, corporate restructuring, and governance in the context of value creation and financial decision-making. Topics covered include the rationale and process of mergers and acquisitions; corporate governance and takeover activity; target valuation and deal structuring; and corporate restructuring in both its operational and financial forms.

Course learning outcomes
- Explain the motivation and process of mergers and acquisitions, analyse corporate governance and takeover activity, and evaluate their impact on firm value.
- Apply discounted cash flow, relative valuation, and leveraged buyout valuation methods to evaluate targets, and analyse deal structuring and transaction feasibility across diverse contexts.
- Present and justify evidence-based valuation analysis and findings on real-world mergers and acquisitions clearly and effectively in a collaborative written report.
- Evaluate and determine the appropriate operational or financial restructuring strategies for different corporate contexts; and assess the associated corporate governance considerations.
